Terms of Service

1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and Ginseng Swap Limited, a Hong Kong company doing business as BothCups ("BothCups," "we," "us," or "our"), governing your access to and use of the pulse520.ai website and the BothCups neighbourhood agent — an AI agent, reached by text message or phone call, that connects people in the same neighbourhood for real-life activities (collectively, the "Service").
By joining the waitlist, joining a neighbourhood number, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility & Membership
- You must be at least 18 years old and capable of entering a binding contract to become a member.
- One membership per person, tied to a phone number you control. You may not join with someone else's number, use virtual numbers to create multiple identities, or let another person operate your membership.
- You must provide accurate information — including your real first name and your actual neighbourhood. Matching only works, and is only safe, if members are who they say they are and live where they say they live.
- We may refuse, suspend, or remove memberships at our discretion, including for suspected fraud, misrepresentation, abuse, or conduct that makes other members feel unsafe.
3. The Service
BothCups provides an AI agent that helps neighbours meet for real-life activities. Based on the interests and availability members share, the agent proposes activities, matches small groups, relays coordination messages, contacts venues (including by phone) to make bookings on the group's behalf, and sends reminders.
- The agent is a coordinator, not a party to your plans. Activities are between members. Venue bookings are made in members' names and are governed by the venue's own terms and prices.
- No guarantee of matches. Whether an activity fills depends on who else is in your neighbourhood and what they want to do. We do not guarantee any number of matches, activities, or attendees.
- The Service is in development; features described on this site are planned, may change, and may be added or removed at our discretion.
4. Community Code of Conduct
Being a member means agreeing to be a decent neighbour. You will not:
- harass, threaten, stalk, or discriminate against other members — in messages or in person;
- use the Service to promote a business, solicit sales, recruit, canvass, or spam other members, unless a commercial feature explicitly permits it;
- misuse contact information or personal details learned through an activity, including contacting members outside the Service without their consent;
- attend activities while impaired in a way that endangers or degrades the experience of others;
- bring uninvited guests to matched activities without the group's agreement via the agent;
- repeatedly no-show. RSVPs are commitments other people plan around; if you can't make it, cancel through the agent as early as you can.
Violations may result in warnings, reduced matching, forfeiture of deposits, suspension, or permanent removal, at our discretion.
5. Meeting In Person — Assumption of Risk
The Service introduces you to people you may not know. Please read this section carefully.
- We verify phone numbers, not people. Membership verification confirms control of a phone number. We do not conduct criminal background checks, identity document checks, or reference checks on members, and we make no representations about any member's identity, character, or conduct.
- Use your own judgment. You are solely responsible for deciding whether to attend an activity and for your interactions with other members, online and in person. Meet in public places (the Service defaults to them), tell someone where you're going, and leave any situation that feels wrong.
- Activities carry inherent risk. Sports, physical activities, and travel to and from activities carry risk of injury. You participate voluntarily and at your own risk, and you are responsible for ensuring an activity is appropriate for your health and abilities.
- We are not responsible for member conduct. To the maximum extent permitted by law, BothCups is not liable for the acts or omissions of members, venues, or other third parties, whether online or at an activity.
- Report problems. Text REPORT to flag conduct, BLOCK to never be matched with someone again, or contact us directly. In an emergency, contact local emergency services first (911 in Canada).
6. Text & Call Consent
- The Service works over SMS/MMS and voice calls. By joining, you consent to receive texts and calls from your neighbourhood number — including proactive messages such as activity proposals, RSVPs requests, and reminders. Message frequency varies with your activity and settings.
- Consent to receive texts is not a condition of purchasing anything. Reply STOP at any time to stop all messages (which pauses your membership), or PAUSE to pause proposals. Reply HELP for help.
- Standard message and data rates from your carrier may apply.
- Calls with the agent may be recorded and transcribed to provide the Service, as described in the Privacy Policy; where recording applies it is disclosed on the call.
7. Fees & Commitment Deposits
- Joining and being matched is expected to be free during the pilot. If we introduce paid features or membership tiers, pricing will be shown clearly before you are charged.
- Commitment deposits: some activities may ask for a small refundable deposit when you RSVP, to reduce no-shows. The deposit amount, the cancellation window, and what happens to forfeited deposits are disclosed at RSVP time. Show up (or cancel within the window) and the deposit is returned in full.
- Payments are processed by Stripe or another designated processor; we do not store card details. Except where required by law or stated otherwise at the time of payment, forfeited deposits are non-refundable.
- Amounts you pay venues (meals, court fees, tickets) are between you and the venue and are governed by the venue's terms.
8. An AI Agent Runs This — Limits & Errors
The agent you text and talk to is an automated AI system. It plans, matches, books, and converses without a human reviewing each message. AI output is probabilistic: the agent may occasionally misunderstand you, propose an unsuitable match, get a detail wrong, or make a booking error (a wrong time, a wrong venue).
- Confirm details that matter to you — the confirmation messages the agent sends are the record of what was arranged.
- The agent's statements are not professional advice of any kind.
- If the agent gets something wrong, tell it — or contact us at the address below and a human will help.
9. Acceptable Use
You will not:
- use the Service for any unlawful purpose, or to organize unlawful activities;
- transmit content that is defamatory, harassing, hateful, sexually explicit, or that exploits minors in any way;
- probe, scrape, overload, or interfere with the Service, its security, its rate limits, or its telephony infrastructure, or attempt to reverse-engineer it;
- attempt to manipulate the agent into disclosing other members' personal information, bypassing safety features, or acting outside its intended purpose;
- impersonate another person, misrepresent your neighbourhood, or operate multiple memberships;
- use the Service to harvest data about members or neighbourhoods, or for any surveillance purpose.
10. Third-Party Services & Venues
The Service depends on third parties — telephony carriers and providers, AI model providers, payment processors, and the venues where activities happen. Their services are governed by their own terms, and we are not responsible for their availability, pricing, policies, or conduct. A venue may cancel a booking, change its prices, or turn a group away; where that happens the agent will try to rearrange, but we are not liable for the disruption.
11. Intellectual Property
The Service — its software, design, brand, and documentation — is owned by BothCups and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended personal, non-commercial purpose.
You retain rights to the content of your messages. You grant BothCups a worldwide, non-exclusive, royalty-free licence to host, store, process, and display that content as necessary to provide and improve the Service.
Feedback. If you submit suggestions or feedback, we may use them without obligation to you.
12. Suspension & Termination
- You may leave at any time by texting STOP or contacting us. Pending deposits for activities you cancel are handled per Section 7.
- We may suspend or terminate your membership immediately if you breach these Terms, if other members report conduct that makes them unsafe, or if your use creates risk or legal exposure for us. Safety-based removals may be immediate and without prior warning.
- Upon termination, your right to use the Service ends. Sections intended to survive (including assumption of risk, IP, disclaimers, limitation of liability, indemnity, and dispute resolution) survive termination.
- We will retain and delete your data as described in the Privacy Policy and as required by law.
13. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free; that any match, activity, or booking will occur or be satisfactory; or that any member is who they claim to be.
14. Limitation of Liability
To the maximum extent permitted by law, BothCups and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for personal injury, property damage, or losses arising from interactions between members, attendance at activities, venue acts or omissions, or booking errors, arising out of or in connection with the Service, even if advised of the possibility of such damages.
Our aggregate liability for all claims arising out of or relating to the Service is limited to the greater of (a) the amounts you paid to BothCups in the 12 months preceding the event giving rise to the claim, or (b) CA$100.
Some jurisdictions — including provinces of Canada with consumer-protection legislation — do not allow certain exclusions or limitations. In those jurisdictions, the above applies only to the extent permitted by law, and nothing in these Terms limits rights that cannot be waived.
15. Indemnity
You will defend, indemnify, and hold harmless BothCups and its affiliates from and against any third-party claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your conduct at or in connection with activities, (b) your content or communications, (c) your use of the Service in breach of these Terms or applicable law, or (d) your violation of any third-party rights.
16. Governing Law & Disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms will be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its Administered Arbitration Rules; the seat is Hong Kong, one arbitrator, in English.
Consumer rights preserved. If you reside in a jurisdiction whose law grants you non-waivable consumer rights — including the right to bring proceedings in your local courts or under your local law (such as Ontario's Consumer Protection Act) — nothing in this section deprives you of those rights, and this section applies only to the extent permitted by the law of your residence.
Class-action waiver. To the extent permitted by the law of your residence, you and BothCups agree that each party may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative action.
17. Changes to the Terms or the Service
We may update these Terms from time to time — including a substantial revision when the Service launches. Material changes will be notified via the Service, by text, or by email at least 15 days before they take effect (except where a shorter period is required by law or to address safety, security, or legal issues). Continued use of the Service after the effective date constitutes acceptance of the updated Terms. We may also modify, suspend, or discontinue any part of the Service at any time.
18. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and BothCups and supersede any prior agreements on the same subject.
- Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may send notices by text, email, or in-product. You may send notices to us at the address or email below.
